Company Secretary
The Company Secretary plays a pivotal role in ensuring that SBG complies with financial and legal requirements while maintaining high standards of corporate governance. This position is crucial for fostering key relationships across the group, including with executive and non-executive Directors, internal teams such as Legal, Regulatory Services, Risk, Data Protection, and external suppliers. The Company Secretary's expertise is instrumental in promoting effective communication, statutory compliance, and corporate governance, thereby contributing to the overall success and integrity of the organisation.
Key Responsibilities:
- Board Administration: Drafting agendas, preparing board packs, taking minutes at meetings and following up on actions to ensure effective and efficient board meetings
- Maintain Corporate Governance Policies: making sure they are kept up to date and referred to the appropriate committee for approval
- Facilitate Communication: Promote effective communication between the board, committees, senior management, non-executive directors, and shareholders.
- Monitor Legislation and Regulatory Changes: Stay current with relevant legislation and regulatory changes, taking appropriate action as needed.
- Ensure Statutory Compliance: Oversee statutory compliance by making all necessary filings with Companies House.
- Manage Correspondence and Reports: Handle correspondence, collate information, and write reports to ensure decisions are communicated to relevant stakeholders.
- Liaise with External Advisers: Coordinate with external advisers, such as lawyers and auditors, to ensure compliance and effective governance.
- Facilitate Committees: Support the various management committees as well as the nominations and remunerations committees to ensure effective decision-making.
- Manage Group Insurances: Oversee the management of group insurances to ensure adequate coverage and compliance.
Required Skills/Experience:
- Demonstrable experience in a previous Company Secretary role within Financial Services or Insurance
- Excellent Verbal and Written Communication Skills: Proven ability to communicate effectively in both verbal and written forms, ensuring clarity and professionalism in all interactions.
- Attention to Detail: Significant attention to detail and a well-organised approach to work, ensuring accuracy and thoroughness in all tasks.
- Legislative Knowledge: Keen interest in staying current with legislation, ensuring compliance and up-to-date knowledge of relevant laws and regulations.
- Prioritisation and Pressure Management: The ability to prioritise work and perform well under pressure, ensuring timely and efficient completion of tasks.
- Support and Confidence: Confidence to provide support to company staff and board members, ensuring effective assistance and guidance.
- Integrity and Discretion: Integrity and discretion when handling confidential information, ensuring trust and confidentiality.
- Commercial Awareness: Substantial commercial awareness, understanding the business environment and its impact on the organisation.
- Stakeholder Management: Proven experience in managing relationships with stakeholders, ensuring effective communication and collaboration.
- Teamwork and Problem-Solving: Strong teamwork and problem-solving skills, ensuring effective collaboration and resolution of issues.
